岗位职责:Responsibilities – Company Integrity Officer
1、 公司合规官
- Implement ABB Group and China integrity program and processes in JV, and coordinate with Communications and Human Resources
在合资公司实施ABB集团和中国合规规定及条款,并与市场推广部门和人力资源部门合作
- Provide guidance and interpretations around compliance issues per Directives and Policies to the business
- 对所有相关人员进行指导并解释合规事项中的每个指令和规定
- Implement Integrity training plan consistent with ABB Group requirements, including face to face and e-learning in China for all employees of the JV, establish annual training calendar and provide additional training according to JV’s needs.
- 对所有合资公司员工实施符合ABB全球需要的合规培训,包括面对面培训和国内的电子在线培训,建立年度培训日程,并根据合资公司需要开展日程外培训。
- Review and approve applications on gift, entertainment and expense in pre-approval process ( ABB GDLC45)
- 回顾并批准关于礼品、娱乐、单次审批额度的应用条款(ABB GDLC45)
- Conduct Due Diligence on third party local agents and other representatives of JV, prepare compliance DD reports, be compliance approver in agents and representatives application and payments approval process (ABB GDLC43). Check before releasing payments to these agents and representatives of the JV.
- 由当地第三方和其它代表合资公司的机构实施尽职调查,准备合规尽职调查报告,担任机构和实施代理的合规审批员以及付款审批程序(ABB GDLC43)。审查并确认对合资公司机构和代理的付款没有放松及漏洞。
- Prepare monthly Reports on Integrity activities, including compliance issues or compliance cases, and provide support in compliance investigations as requested by ABB China Chief Integrity Officer (ABB CIO)
- 准备合规工作月度报告,包括合规问题及案例,并根据ABB中国首席合规官(ABB CIO)的要求在合规调查中提供支持
- Closely communicate and work with ABB CIO and business leaders on JV compliance. Actively seek guidance on Integrity matters from ABB CIO.
- 与ABB CIO以及合资公司各业务领导就合规进行紧密合作和沟通。就廉正事宜从ABB CIO处积极寻求指导。
- report to the General Manager of the JV, with dotted line to ABB CIO.
- 向合资公司总经理汇报,并向ABB CIO进行虚线汇报。
2、 法律顾问Legal Counsel
- Proactively identify and examine legal issues in order to advise the management of the company;
预先确定并检测法律问题以便于给公司管理人员提供建议;
- Support the management of the company to make and Implement company policies;
为公司管理人员提供支持,制定并实施公司政策;
- Review, revise, and negotiate sales contracts, procurement contracts, and other contracts arising from the operation of the company;
对销售合同、采购合同及其它公司运作中产生的合同进行回顾、修订和商议;
- Draft template contracts for the company;
为公司起草合同模板;
- Support dispute resolutions;
协助调解纠纷;
- Manage and work with external counsel, and coordinate external counsel with the business team and other functions of the company;
对外部顾问进行管理和合作,并与运营团队和公司其它职能模块一起调整外部顾问。
- Provide legal trainings in the company;
在公司内进行法务培训;
- Liaising with the legal functions of parent companies; and Provide other legal support in connection with the operation of the company.
与上级单位法务部门保持沟通,并提供与公司运营相关的其它法务支持。
岗位要求:Requirements
- Master degree majored in Legal
法律专业硕士研究生学历
- More than 5 years of legal or financial working experience either in a professional firm or with a multinational company. Ideally, candidates are familiar with both Western and Chinese legal systems.
在专业公司或跨国公司有超过5年法务或财务工作经验。同时熟悉西方和中国法律制度的应聘者优先。
- Possession of uncompromised sense of integrity and highest ethical standards
有很高的道德标准和诚信、廉正的坚决意志。
- Results-oriented with ability to prioritize and organize
拥有基于结果导向区分事件先后顺序并组织的能力。
- Ability to deal with ambiguity and complexity in an efficient manner

- Fluent English and Chinese language skills.
